Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the software products, browser extensions, websites, and related services (collectively, the "Services") provided by Redan Ventures LLC, doing business as SnapTool Labs ("SnapTool Labs," "we," "us," or "our").

These Terms apply to all users including visitors, free-tier users, and paying subscribers. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

The Services

SnapToolApps provides productivity-focused browser extensions and web tools, including (without limitation) tools for:

• Optical Character Recognition (OCR) — client-side text extraction from images and PDFs
• PDF manipulation — merge, split, compress, and convert documents
• Document utilities and format conversion
• Other productivity extensions as released under the SnapToolApps brand

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for such modifications.

Free Tier

We offer a free tier of the Services subject to the following limitations. Free tier terms may change at our discretion with reasonable notice.

Free tier usage is subject to fair-use limits. We reserve the right to throttle, pause, or revoke free access if we detect abuse, automated bulk usage, or usage that imposes unreasonable load on our infrastructure.

Pro Subscription

Billing & Payment

Pro subscriptions are billed on a recurring basis (monthly or annually, as selected at purchase). Payments are processed by our third-party payment processor. By subscribing, you authorize us to charge the payment method you provide on each renewal date until you cancel.

All prices are listed in US Dollars and are exclusive of applicable taxes unless otherwise stated. We reserve the right to update pricing with at least 30 days' notice to existing subscribers before the next billing cycle.

Free Trials

Where a free trial is offered, it begins on the date you enroll. At the end of the trial, you will automatically be charged the applicable subscription fee unless you cancel before the trial ends. Cancellation instructions are available in your account settings or by contacting support.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting snap.tool.labs@gmail.com. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until the period ends. No refunds are issued for the unused portion of a billing period unless required by applicable law.

Refunds

We offer refunds within 14 days of initial purchase if you are not satisfied and have not used the Services beyond de minimis evaluation. To request a refund, contact snap.tool.labs@gmail.com. Refund eligibility for renewals is evaluated on a case-by-case basis. We comply with all mandatory refund requirements under applicable law.

Subscription Changes

Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle. We do not provide partial-period credits for downgrades.

Accounts

Some features require creating an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials and not share your password.
• Promptly notify us of any unauthorized use at snap.tool.labs@gmail.com.
• Be responsible for all activity under your account.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

You may delete your account at any time. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You must not:

• Violate any applicable local, national, or international law or regulation.
• Use the Services to process, store, transmit, or distribute content that is illegal, defamatory, fraudulent, obscene, or infringes third-party intellectual property rights.
• Attempt to gain unauthorized access to any portion of the Services or related systems, networks, or infrastructure.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services (except as permitted by applicable law).
• Use automated scripts, bots, scrapers, or other tools to access or extract data from the Services at volumes that abuse or degrade performance for others.
• Resell, sublicense, or commercialize the Services without our express written consent.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Transmit any unsolicited commercial communications or spam through or in connection with the Services.
• Attempt to probe, scan, or test the vulnerability of our systems or networks.
• Remove, alter, or obscure any proprietary notices or labels on the Services.
• Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks.

We reserve the right to investigate violations and take appropriate action, including suspension or termination of access, without notice.

Intellectual Property

Our IP

The Services, including all software, code, designs, interfaces, trademarks, logos, and content created by Redan Ventures LLC, are owned by or licensed to us and protected by intellectual property laws. These Terms do not grant you ownership of any part of the Services.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your own personal or internal business purposes, subject to these Terms.

Your Content

Any documents, files, or data you process using the Services remain your property. Because our core tools operate client-side, no document content is transmitted to us. You represent that you have all rights necessary to process any content you submit to or process with the Services.

Feedback

If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use that Feedback to improve our products, without any obligation to you.

Disclaimer of Warranties

We do not warrant that:

• The Services will meet your requirements or expectations.
• Results obtained from using the Services (e.g., OCR accuracy, PDF output quality) will be accurate, complete, or reliable.
• Any errors or defects will be corrected.
• The Services or servers are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Limitation of Liability

Our total cumulative liability arising out of or related to these Terms or the Services, regardless of the form of action or theory of liability, will not exceed the greater of:

• The amounts you paid to us in the 12 months preceding the claim, or
• $50 USD if you have not made any payments to us.

The limitations in this section apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitations on liability for consequential or incidental damages; in such cases, the above limitation may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Redan Ventures LLC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Services in a manner not expressly authorized by these Terms.
• Your violation of any third-party rights, including intellectual property rights or privacy rights.
• Any content you process or submit in connection with the Services.

Termination

Termination by You

You may stop using the Services at any time. To close your account, use the account settings or contact snap.tool.labs@gmail.com. For paid subscriptions, cancellation stops future charges but does not entitle you to a refund for the current period (see Refunds above).

Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you:

• Breach any provision of these Terms.
• Engage in conduct that we reasonably believe is harmful to other users, us, or third parties.
• Are subject to legal proceedings that affect the Services.

Upon termination for cause, we may delete your account data. If we terminate your access without cause, we will refund any prepaid subscription fees on a pro-rated basis.

Effect of Termination

Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will continue to apply after termination.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, USA, without regard to conflict-of-law principles. To the extent permitted by law, you and Redan Ventures LLC agree to submit to the personal and exclusive jurisdiction of the courts located in Hennepin County, Minnesota for any disputes arising from these Terms.

Informal Resolution

Before filing a formal dispute, you agree to first contact us at snap.tool.labs@gmail.com and give us 30 days to attempt informal resolution. Most concerns can be resolved this way.

Class Action Waiver

To the extent permitted by law, you and Redan Ventures LLC agree to resolve disputes individually and waive the right to participate in a class action, class arbitration, or representative proceeding.

EU / UK Consumer Rights

If you are a consumer in the European Union or United Kingdom, mandatory consumer protection laws in your jurisdiction apply and are not affected by these Terms. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.

Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Notify registered users by email and/or via an in-product notice at least 14 days before the changes take effect.
• For changes that materially increase your obligations or reduce your rights, we will request fresh acceptance where technically feasible.

Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not accept the updated Terms, you must stop using the Services before the effective date.
